1. Introduction
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Client," "you," or
"your") and SavevyCoupons Inc., a Delaware corporation with its principal offices at
1401 Koll Circle, Suite 108, San Jose, CA 95112, United States ("SavevyCoupons," "we," "us," or "our").
These Terms govern your access to and use of the SavevyCoupons platform, including all associated
services, features, APIs, and documentation (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound
by these Terms, as well as our Privacy Policy and Acceptable Use Policy.
2. Service Description
SavevyCoupons provides a business-to-business (B2B) software-as-a-service platform that enables retail
businesses, restaurants, and e-commerce brands to:
- Create, manage, and distribute digital coupons with unique redemption codes and QR identifiers
- Build and administer customer loyalty programs (points-based, tier-based, or visit-based)
- Track coupon redemptions, loyalty engagement, and campaign performance via real-time analytics
dashboards
- Integrate with point-of-sale (POS) systems and e-commerce platforms for automated discount
application and transaction reconciliation
- Send transactional email notifications related to coupon activity, loyalty updates, and account
events
The Service generates strictly transactional communications — we do not send marketing emails,
newsletters, or promotional content on behalf of our clients.
3. Eligibility & Access
To use the Service, you must:
- Be at least 18 years of age and have the legal capacity to enter into binding agreements
- Represent a legitimate business entity with a valid tax identification number
- Provide accurate and complete registration information, including a verified business email address
- Maintain the security of your account credentials and accept responsibility for all activity under
your account
We reserve the right to refuse service, terminate accounts, or revoke access at our discretion if
eligibility requirements are not met or if fraudulent activity is detected.
4. Client Obligations
As a client of SavevyCoupons, you agree to:
- Use the Service solely for lawful business purposes consistent with these Terms and our Acceptable Use Policy
- Ensure that all end-customer data you provide or process through the Service has been collected with
proper consent
- Keep your account information accurate and up to date, including contact details and billing
information
- Promptly notify us of any unauthorized access to your account or suspected security incidents
- Refrain from circumventing, disabling, or otherwise interfering with security-related features of
the Service
- Comply with all applicable local, state, national, and international laws and regulations in
connection with your use of the Service
5. Prohibited Uses
You may not use the Service to:
- Send spam or unsolicited communications — including mass emails, cold outreach, or
messages to recipients who have not opted in through legitimate means
- Use purchased, rented, or scraped email lists — all recipients must be genuine
customers or registered users of your business
- Distribute malware, phishing attempts, or deceptive content — including misleading
subject lines, fraudulent offers, or impersonation of other entities
- Engage in fraudulent coupon schemes — including generating fake redemptions,
manipulating loyalty balances, or creating counterfeit promotional offers
- Violate intellectual property rights — including using trademarked terms,
copyrighted materials, or proprietary designs without authorization
- Process data related to prohibited industries — including gambling, adult content,
controlled substances, weapons, or financial pyramid schemes
- Attempt to reverse-engineer, decompile, or extract source code from the Service or
any component thereof
- Resell, sublicense, or redistribute access to the Service without our prior written
consent
Violation of any prohibited use may result in immediate account suspension or termination, without
refund, and may be reported to appropriate authorities.
6. Fees & Payment
Access to the Service is provided on a subscription basis. Pricing details are set forth in your
individual service agreement or as displayed on our website at the time of enrollment.
- Billing cycle: Monthly or annual, as selected during signup
- Payment methods: We accept major credit cards and ACH transfers processed via
Stripe
- Late payments: Invoices unpaid after 15 days from the due date may incur a late fee
of 1.5% per month
- Suspension for non-payment: Accounts with balances overdue by 30 days or more may
be suspended until payment is received
- Refunds: We do not offer refunds for partial billing periods. You may cancel at any
time, and your subscription will remain active until the end of the current billing cycle
- Taxes: All fees are exclusive of applicable taxes. You are responsible for any
sales, use, or withholding taxes that apply to your subscription
7. Intellectual Property
All intellectual property rights in the Service — including but not limited to software code, algorithms,
databases, user interface designs, documentation, logos, and trademarks — are and remain the exclusive
property of SavevyCoupons Inc. or its licensors.
You retain ownership of all data, content, and materials you upload to or create within the Service
("Client Content"). By using the Service, you grant SavevyCoupons a limited, non-exclusive license to
process, store, and display your Client Content solely as necessary to provide the Service.
This license terminates when your subscription ends, subject to data retention periods described in our
Privacy Policy.
8. Confidentiality
Each party agrees to treat as confidential any non-public information disclosed by the other party,
including business plans, technical data, customer lists, and pricing information ("Confidential
Information"). Confidential Information shall not be disclosed to third parties without prior written
consent, except as required by law or as necessary to perform obligations under these Terms.
This confidentiality obligation survives the termination of these Terms for a period of three (3) years.
9. Data Protection
We take data protection seriously. Our handling of personal data is governed by our Privacy Policy, which describes:
- The categories of data we collect and process
- The purposes for which data is used
- The legal bases for processing under GDPR
- Data subject rights (GDPR and CCPA)
- Our sub-processors and international data transfer mechanisms
- Data retention periods and deletion procedures
If you are located in the European Economic Area (EEA) or process data of EEA residents through our
Service, a Data Processing Agreement (DPA) is available upon request at legal@savevycoupons.com.
10. Service Availability & SLA
We strive to maintain high availability of the Service. Our target is 99.9% uptime, measured on a monthly
basis, excluding scheduled maintenance windows.
- Scheduled maintenance: We perform routine maintenance during low-traffic hours
(Sundays 2:00–6:00 AM Pacific Time) and provide at least 48 hours advance notice via email and
in-app banner
- Unplanned outages: In the event of an unplanned service disruption, we will
communicate status updates through our status page and email notifications
- SLA credits: If monthly uptime falls below 99.9%, eligible clients may request
service credits as specified in their individual service agreement
We do not guarantee uninterrupted or error-free operation at all times. Third-party service interruptions
(e.g., cloud infrastructure, payment processors, DNS providers) are excluded from SLA calculations.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- SavevyCoupons shall not be liable for any indirect, incidental, special, consequential, or punitive
damages, including loss of profits, revenue, data, or business opportunities, arising from or
related to your use of the Service
- Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts
paid by you to SavevyCoupons during the twelve (12) months immediately preceding the event giving
rise to the claim
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or
otherwise) and even if SavevyCoupons has been advised of the possibility of such damages
12. Indemnification
You agree to indemnify, defend, and hold harmless SavevyCoupons Inc., its officers, directors, employees,
and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including
reasonable attorneys' fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law, regulation, or third-party rights
- Any Client Content that infringes or misappropriates intellectual property rights
- Any end-customer disputes, complaints, or claims related to your coupon or loyalty programs managed
through the Service
13. Termination
Either party may terminate the subscription:
- For convenience: With 30 days written notice prior to the end of the current
billing cycle
- For cause: Immediately upon written notice if the other party materially breaches
these Terms and fails to cure the breach within 15 days of receiving written notice
Upon termination:
- Your access to the Service will be revoked at the end of the current billing period (or immediately,
in case of termination for cause)
- You may request an export of your data within 30 days of termination. After this period, your data
will be deleted in accordance with our data retention policies
- Provisions that by their nature should survive termination (including confidentiality, limitation of
liability, indemnification, and dispute resolution) shall remain in effect
14. Dispute Resolution & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California,
without regard to conflict of law principles.
- Informal resolution: Before initiating any formal proceedings, you agree to contact
us at legal@savevycoupons.com and attempt to resolve
the dispute informally within 30 days
- Arbitration: Any disputes that cannot be resolved informally shall be settled by
binding arbitration administered by the American Arbitration Association (AAA) under its Commercial
Arbitration Rules. The arbitration shall take place in Santa Clara County, California
- Class action waiver: You agree to resolve disputes with SavevyCoupons on an
individual basis and waive any right to participate in a class action lawsuit or class-wide
arbitration
- Injunctive relief: Either party may seek injunctive or other equitable relief in
any court of competent jurisdiction to protect its intellectual property rights or Confidential
Information
